NextRadioTV et Altice annoncent avoir franchi une nouvelle étape dans la mise en oeuvre du projet de partenariat stratégique annoncé le 27 juillet 2015.

Groupe News Participations, une société indirectement détenue à 51% par Alain Weill et à 49% par Altice, a acquis, ce jour, l'intégralité de la participation détenue par Alain Weill (au travers de sa filiale WMC) dans NextRadioTV, soit 6.181.616 actions représentant 37,77% du capital et 48,59% des droits de vote et 1.764.515 BSAAR moyennant un prix égal, par transparence, à 37 euros par action NextRadioTV et 23,28 euros par BSAAR.

Groupe News Participations a conclu avec certains actionnaires de NextRadioTV des contrats de cession portant sur 2.072.379 actions représentant 12,66% du capital et 9,02 % des droits de vote (après privation des droits de vote double) et 361.470 BSAAR, aux mêmes prix.

A l'issue de ces acquisitions, la participation directe et indirecte de Groupe News Participations au capital de NextRadioTV sera portée à 50,42% du capital et 61,83% des droits de vote.

Groupe News Participations déposera mi-décembre 2015 un projet d'offre publique d'achat simplifiée obligatoire portant sur l'ensemble des titres du groupe NextRadioTV qu'elle ne détiendra pas déjà, pour un prix de 37 euros par action, représentant une prime de 30,5% par rapport au cours moyen pondéré sur les 6 mois de bourse avant l'annonce des principales caractéristiques du projet d'offre, et un prix de 23,28 euros par BSAAR. L'offre devrait, sous réserve de l'avis de conformité de l'AMF, être ouverte mi-janvier 2016 pour une période minimum de 10 jours de bourse. Le cabinet Ricol & Laysterie Corporate Finance, représentée par Sonia Bonnet Bernard et Alban Eyssette a été désigné en qualité d'expert indépendant dans le cadre de l'offre. L'initiateur de l'offre entend se réserver la possibilité de procéder à un retrait obligatoire si les conditions légales et réglementaires sont réunies.

Conformément au droit français, la documentation relative à l'offre publique simplifiée visant la société NextRadioTV qui comportera les termes et conditions de l'offre, sera soumise à l'AMF. L'offre ne pourra être ouverte qu'une fois déclarée conforme par l'AMF.

Completion of the acquisition by Altice of an interest in NextRadioTV
Contemplated filing of a tender offer

NextRadioTV and Altice N.V. announced that they have taken a further step in the implementation of the strategic partnership announced on July 27, 2015.

Groupe News Participations, a company 51% indirectly owned by Alain Weill (Chariman and CEO of NextRadioTV) and 49% by Altice N.V., acquired today, the entire interest held by Alain Weill (through its subsidiary WMC) in NextRadioTV, i.e. 6,181,616 shares representing 37.77% of the capital and 48.59% of the voting rights and 1,764,515 NextRadioTV warrants, at a price equal to 37 euros per NextRadioTV share and 23.28 euros per warrant.

Simultaneously, Groupe News Participations entered into share purchase agreements with certain shareholders of NextRadioTV for the acquisition of 2,072,379 shares representing 12.66% of capital and 9.02% of voting rights (after deprivation of double voting rights), as well as 361,470 warrants, at the same prices.

Following these acquisitions, the direct and indirect participation of Groupe News Participations in NextRadioTV will be increased to 50.42% of the share capital and 61.83 % of the voting rights.

Groupe News Participations will now file with the AMF by mid-December 2015, a proposed mandatory simplified tender offer to purchase all the remaining securities of NextRadioTV not already owned by it, for 37 euros per share, representing a premium of 30.5% compared to the weighted average on six months trading before the announcement of the main characteristics of the proposed offer, and a price of 23.28 euros per warrant. The offer is expected, subject to the AMF's clearance, to open in mid-January 2016 for a minimum period of 10 trading days. Ricol Lasteyrie & The Corporate Finance, represented by Sonia Bonnet Bernard and Alban Eyssette has been appointed as independent expert in connection with the offer. The bidder intends to reserve its right to implement a squeeze-out if legal and regulatory requirements are met.

According to French law, the documentation for the simplified public offer for the company NextRadioTV which will include the terms and conditions of the offer will be submitted to the AMF. The offer may only be opened once cleared by the AMF.
